Peter Ness has over twenty years of extensive transactional experience representing clients as an Attorney, Certified Public Accountant and Investment Banker. He represents and counsels companies in the placement of debt, mezzanine and equity securities, the planning, structuring, negotiation and execution of mergers, acquisitions and other corporate transactions, executive compensation issues, corporate planning and development, business succession and estate planning, and administrative representation before the IRS, SEC, DOL, regulatory agencies and FINRA. Peter’s experience includes acting as General Counsel, CFO and a founding principal of a software company and an investment banking firm, Arete Capital Group. Previous positions include General Counsel of the Baldwin & Clarke Companies, a financial services firm, Tax Manager in Ernst & Young’s mergers and acquisition and tax practices, and an associate in the corporate and tax departments of McLane, Graf, Raulerson & Middleton. Peter began his career as a tax consultant with Touche Ross & Co., CPAs where he practiced extensively in the area of corporate transactional tax planning and mergers and acquisitions representing a New York Stock Exchange listed company and Japanese multinational clients.

Peter is an Attorney at Law licensed in Georgia, Massachusetts and New Hampshire, a Certified Public Accountant licensed in Georgia and New Hampshire, and a licensed securities principal holding the Series 22, 24, 28, 62 and 63 licenses. Peter holds a Masters of Law, in taxation, from Emory University, a Juris Doctor and Master of Business Administration in accounting and finance, from the University of South Carolina, and a Bachelor of Arts in American government from the University of Virginia. Peter previously has been a member of the Manchester Chamber of Commerce Tax Committee and the Congressional Advisory Group for Representative John Sununu and served on the United States Service Academy Selection Board for Senator Bob Smith. He currently is counsel to and a board member of a local non-profit humane society. Peter is a member of the New Hampshire Bar Association, past Chair and officer of the Tax Section, and frequent lecturer on corporate, taxation and securities topics.

Peter enjoys snow skiing, hiking and cooking. He is a member of the Professional Ski Instructors of America (Certified Alpine Level II, Telemark Level I), the AMC 4,000 Footer Club, and an alumni member of the National Ski Patrol.
